1. About This Licence
This Software & Digital Content Licence governs access to and use of software, applications, games, digital tools, downloadable files, digital designs, three-dimensional models, templates, databases, documentation and other digital content that Murzo Group expressly supplies under this Licence, together called the Licensed Product.
The Licensed Product is supplied by Murzo Group Ltd, company number 17327540, registered in England and Wales.
This Licence is an agreement between Murzo Group and the individual who obtains, installs, opens, downloads, accesses or uses the Licensed Product. You enter into this agreement only where you actively accept it, such as by selecting an acceptance box or button, creating an account after being asked to accept it, or installing or opening a Licensed Product after being asked to accept it.
Completing a purchase amounts to acceptance only where the checkout clearly identifies this Licence and requires an affirmative action confirming agreement. Merely browsing a public Murzo Group webpage does not, by itself, amount to acceptance of this Licence.
If you do not agree to this Licence, do not purchase, download, install, access or use the Licensed Product.
2. Key Licence Points
The following points highlight important terms. They do not replace the full Licence.
- The default licence is personal, non-commercial, non-transferable and non-sublicensable.
- Commercial use, organisational use, client work, monetised content and paid distribution require a separate written licence.
- Credit to Murzo Group is required whenever the Licensed Product, Group Materials or an Output is shown, submitted, shared, published or communicated outside your private household, unless mandatory law gives you a separate right that cannot be restricted by contract.
- The Licensed Product is licensed, not sold. Ownership of Group Materials stays with Murzo Group and its licensors.
- Consumer rights, cancellation rights and statutory remedies that cannot lawfully be excluded remain fully protected.
- Product-specific terms, app-store terms, open-source licences, privacy notices and subscription terms may also apply where identified.
3. Scope and Contract Hierarchy
This Licence applies only where a product page, download page, store listing, application, installation process, checkout, order confirmation or other product notice identifies the Licensed Product as being supplied under it.
It does not automatically apply to bespoke work supplied under a separate client agreement, a commercial or organisational licence granted in writing, software used internally by Murzo Group or its authorised contractors, third-party components governed by their own terms, or products supplied under different written licence terms.
If more than one document applies and two provisions conflict on the same subject, the following order is used to resolve that conflict:
- Component-specific third-party or open-source terms, but only for the relevant component
- Product-specific terms, licence schedules or separately signed agreements
- Mandatory app-store, marketplace or distribution-platform terms, but only for matters governed by that platform
- This Licence, for the grant and permitted use of the Licensed Product
- Murzo Group sales, subscription, cancellation and returns terms, for the transaction, payment, renewal, cancellation and refund
- The applicable Murzo Group Privacy Policy, for personal data
- Murzo Group general website terms, only to the extent that they do not conflict with the documents above
This Licence prevails over any conflicting provision in Murzo Group general website terms in relation to the licence grant, use restrictions, attribution and termination of rights in a Licensed Product.
4. Eligibility and Age Requirements
You must have the legal capacity to enter into this Licence.
If you are under 18, the relevant Licensed Product must permit use by a person of your age, a parent or legal guardian must review and accept this Licence for you before you use the Licensed Product, and you must use the Licensed Product under any supervision or age restrictions stated for it.
A product-specific notice may set a higher minimum age, require age assurance or restrict features for younger users. A parent or guardian who accepts this Licence for a child is responsible for supervising the child's permitted use to the extent allowed by law.
Where a Licensed Product is likely to be accessed by children, any age-appropriate design, parental consent and personal-data requirements will be addressed in the product-specific information and applicable Murzo Group Privacy Policy.
5. Definitions
Commercial Use means use connected with a business, trade, profession, employment, client service, revenue-generating activity or economic advantage, whether direct or indirect and whether or not profit is made.
Digital Content includes downloadable files, three-dimensional models, STL and similar design files, templates, images, graphics, audio, video, written materials, datasets, documentation, game content and other digitally supplied material.
Group Materials means the Software, Digital Content, user interfaces, branding, characters, designs, templates, documentation and other material included in or supplied with a Licensed Product, to the extent owned by or licensed to Murzo Group.
Organisational Use means use by, for or on behalf of a company, partnership, school, university, training provider, employer, charity, club, association, public authority, research body or other organisation, including use that the organisation purchases, installs, distributes, manages, mandates or provides access to.
Output means a result created, generated, edited, processed or exported using a Licensed Product.
Personal Use means private, individual and non-commercial use by you for your own domestic, hobby, recreational, educational or private creative purposes. It does not include Commercial Use or Organisational Use.
Software includes applications, games, hosted systems, platforms, databases, tools, scripts, executable files, application programming interfaces, firmware, updates, patches and related documentation supplied by Murzo Group.
User Content means files, data, instructions and original material that you lawfully submit to a Licensed Product.
6. Personal-Use Licence Grant
Subject to your compliance with this Licence and any product-specific conditions, Murzo Group grants you a limited, personal, non-exclusive, non-transferable and non-sublicensable licence to use the Licensed Product solely for Personal Use.
This Licence does not transfer ownership of the Licensed Product or any intellectual property right. All rights not expressly granted are reserved by Murzo Group and its licensors.
Unless the product-specific information states otherwise, a one-off downloadable Licensed Product may be used for an indefinite period subject to this Licence and section 30, an account-based or hosted Licensed Product may be used while Murzo Group makes it available and your account remains active, a subscription or trial may be used only during the stated subscription or trial period, and you may install the Licensed Product on a reasonable number of devices that you personally own or control.
You must not share the Licensed Product or permit simultaneous use by another person unless product-specific terms clearly allow this. Any different duration, device, account, installation, feature or usage limit must be disclosed in the product-specific information before purchase or download.
7. Territorial Availability and International Use
Where a product page, application, store listing or product-specific notice identifies permitted countries or territories, the Licence is limited to those countries or territories.
If no territory is identified, you may use the Licensed Product for Personal Use in a country where Murzo Group lawfully makes it available. Availability through the internet, an application store or another platform does not mean that the Licensed Product is offered, approved, registered, supported or suitable in every country.
You must not access or use the Licensed Product where doing so is unlawful, bypass a geographic, account, device or territorial restriction imposed by Murzo Group or an authorised platform, or export, re-export, transfer or use the Licensed Product contrary to applicable sanctions, export controls, trade restrictions or other law.
Murzo Group may restrict, modify, suspend or withdraw availability in a country where reasonably necessary to comply with law, sanctions, export controls, regulatory or platform requirements, or a material security concern. If a territorial restriction materially affects a paid Licensed Product supplied to a consumer, mandatory cancellation, refund or other statutory rights remain unaffected.
8. Permitted Personal and Educational Use
Subject to this Licence and any product-specific restrictions, you may install, access and use the Licensed Product for Personal Use, learn, experiment, create personal non-commercial projects, create, save, print or export Outputs where the Licensed Product provides that function, and make backup copies reasonably necessary for lawful personal use of downloadable Software or Digital Content.
You may use an STL file or similar model to make physical items solely for your own private, non-commercial use where personal printing is permitted. You may also display a personal project in a non-commercial portfolio that does not advertise paid services, solicit clients, offer the project for sale or imply Murzo Group endorsement.
An individual student may independently use a Licensed Product for personal study and may submit their own resulting work for assessment, provided the use remains non-commercial and the credit requirements in section 10 are followed.
A school, university, training provider, employer or other organisation requires a separate written licence if it purchases, installs, distributes, manages, mandates or provides access to the Licensed Product, or uses it in teaching, training, research, administration or other organisational activity. An individual student's permitted independent use does not grant rights to the institution.
9. Commercial and Organisational Use Is Prohibited
This Licence grants no right of Commercial Use or Organisational Use.
Without a separate written licence from Murzo Group, you must not use the Licensed Product, Group Materials or any Output in a business, trade, profession, employment role, client engagement, organisational workflow, paid service, monetised content, manufacturing process, marketplace listing, consultancy, agency, freelance service, software-as-a-service product, service-bureau offering, commercial model, training dataset, paid design process or revenue-generating activity.
You must not sell, license, sublicense, rent, lend, commercially distribute, commercially exploit, package, promote, manufacture from, resell, white-label, embed in a commercial service, or use the Licensed Product or Group Materials for any direct or indirect commercial or organisational advantage.
An activity does not become Personal Use merely because it is unpaid, makes no profit, is described as a test or prototype, is carried out for a charity or not-for-profit body, uses only part of a Licensed Product, involves a modified Output, or gives Murzo Group credit.
10. Mandatory Credit and Attribution
Except for use kept entirely within your private household, credit to Murzo Group is a condition of every contractual permission granted under this Licence.
Whenever a Licensed Product, Group Materials or any Output created using a Licensed Product is shown, submitted, shared, published, presented, recorded, streamed, exhibited or otherwise communicated to anyone outside your private household, you must give clear and prominent credit to Murzo Group. This applies even if the Output has been modified, does not contain visible Murzo Group branding, or cannot readily be identified as having been created with a Licensed Product.
Unless product-specific instructions require different wording, use: Created using [Licensed Product name] by Murzo Group - https://murzo.co.uk
Where space is genuinely limited, you may use: Murzo Group - murzo.co.uk
The credit must be accurate, legible, reasonably prominent and clearly connected to the Licensed Product or Output. Hidden text, metadata alone, an inaccessible link, a hashtag, a verbal mention, a platform tag or an abbreviation that does not identify Murzo Group is not sufficient.
You must preserve all Murzo Group copyright notices, trade marks, watermarks, signatures, credits and ownership notices, and must not crop, cover, blur, remove, obscure, replace or alter a required notice or credit.
For educational work, the credit must appear on the relevant document, submission, slide, display, recording or project. If the work contains a bibliography or reference list, Murzo Group must also be included there.
For use kept entirely within your private household and not shown or communicated to anyone else, it is sufficient to preserve all built-in credits and ownership notices. The full requirements apply as soon as the Licensed Product or an Output is shown, submitted, shared or communicated outside that setting.
Third-party material may require an additional or different notice. You must comply with that notice as well as the Murzo Group credit required for the overall Licensed Product or Output.
11. Videos, Clips, Recordings and Social Media
You may publish non-commercial screenshots, demonstrations, gameplay, screen recordings, extracts, video clips or live streams only where the relevant product-specific terms permit capture and publication, the publication remains personal and non-commercial, the content does not reveal confidential or security-sensitive material, the content does not falsely suggest sponsorship or endorsement, and all required credit is included.
This section applies to YouTube, Instagram, Bilibili, TikTok, Facebook, X, Twitch, Vimeo, Discord, podcasts, blogs, forums and all other social-media, video, streaming and content-sharing services.
For video, gameplay, screen recordings, reels, stories, live streams and similar audiovisual content, a visible Murzo Group credit must remain on screen throughout every continuous part in which the Licensed Product, Group Materials or an Output is materially shown. The full credit must also appear in the title, caption, accompanying post or description wherever the platform provides such a field. Spoken credit alone is not sufficient.
For a still image, screenshot, thumbnail or social-media graphic, the credit must appear visibly on the image or immediately beside it in the caption. If the image can reasonably be separated from its caption, the credit must appear on the image itself.
Honest and lawful criticism, comment and review are permitted when they remain non-commercial, use no more Group Materials than reasonably necessary, provide the required credit where this contractual permission is relied on, and do not falsely imply Murzo Group endorsement. This contractual permission is in addition to any exception or right that mandatory law permits and does not allow the parties to exclude by contract.
If a platform provides no practical way to display the required credit, you should not rely on this contractual permission to publish the content there without Murzo Group prior written permission, unless mandatory law gives you a separate right to do so.
12. Monetisation Remains Prohibited
Permission to publish non-commercial content does not create a commercial licence.
You must not monetise, license, sell or receive financial or commercial benefit from content featuring a Licensed Product or Group Materials. This includes advertising revenue, creator payments, sponsorship, paid promotion, affiliate income, subscriptions, donations connected with access, platform bonuses and other direct or indirect compensation.
Advertising inserted by a platform without your choice or control does not, by itself, breach this section if you receive no revenue, payment or other benefit from that advertising.
13. Commercial and Organisational Licences
Murzo Group may choose to offer a separate commercial, business, enterprise, educational, developer, production or organisational licence. Such a licence exists only if it is expressly granted in a written agreement signed or issued by Murzo Group, or expressly identified as a commercial or organisational licence and obtained through an authorised Murzo Group licensing checkout.
Paying the ordinary price for a personal Licensed Product does not create commercial or organisational rights. Nor do technical access, correspondence, previous dealings, silence, possession of a copy, payment to a marketplace seller or receipt from an unauthorised distributor create such rights.
Murzo Group is not required to offer or approve a commercial or organisational licence.
14. Accounts, Devices and Authorised Users
Where an account is required, you must provide accurate and current information, keep passwords, passkeys and authentication details secure, not share, sell, rent, lend or transfer the account, promptly report suspected unauthorised access, and take reasonable steps to prevent unauthorised use.
The account and Licence are personal to you. You must not allow another person or organisation to use them unless product-specific terms expressly allow managed authorised users.
You are not responsible for unauthorised use caused by Murzo Group failure to apply legally required security measures, or where you took reasonable protective steps and promptly reported the issue.
Murzo Group may enforce device, installation, account, session, location and usage limits disclosed before purchase. Temporary measures may also be applied where reasonably necessary for security, abuse prevention or legal compliance. Any new permanent limit that materially affects an existing paid Licensed Product will be handled under section 24 or section 34, as applicable.
15. Ownership and Intellectual Property
The Licensed Product is licensed, not sold.
Murzo Group and its licensors retain all rights, title and interest in the Group Materials, including source code, object code, systems, databases, structures, interfaces, algorithms, designs, models, characters, artwork, graphics, audio, video, trade marks, names, logos, branding, goodwill, documentation, technical information, updates, modifications and all related intellectual property rights.
Buying, downloading or accessing a Licensed Product does not transfer ownership of the Licensed Product or Group Materials to you.
16. Third-Party and Open-Source Components
A Licensed Product may include components supplied by third parties or under an open-source licence. Applicable notices and component licences will be provided in the Licensed Product, accompanying documentation, notices file, source repository or another reasonably accessible location.
Where a third-party or open-source licence grants rights or imposes conditions that conflict with this Licence, that component licence controls only for the relevant component. It does not grant rights in Murzo Group proprietary code, branding, content or the Licensed Product as a whole.
Further information about Murzo Group governance of such components is available in the Third-Party Software, Open Source & Digital Supply Chain Policy.
17. Copies, Transfers and Unauthorised Distribution
You must not copy, upload, share, publish, mirror, distribute, resell, lend, rent, lease, sublicense, transfer, make available, place in a repository, include in a package, include in a dataset, include in a model-training source, or provide access to the Licensed Product or Group Materials except as expressly permitted by this Licence or mandatory law.
Backup copies allowed for personal use must remain under your control and must not be used by another person or organisation.
Murzo Group is not responsible for unauthorised, pirated, resold, modified, cracked, extracted, repackaged, counterfeit, archived, scraped or unofficial copies of a Licensed Product, or for damage, loss, incompatibility, malware, missing features, support failures or licence defects arising from such copies, except where law requires otherwise.
18. Technical and Security Restrictions
Except to the extent expressly permitted by mandatory law or the exceptions below, you must not reverse-engineer, decompile, disassemble, decrypt or attempt to derive source code from the Licensed Product, bypass security or licence controls, exploit a vulnerability, introduce malware, scrape or systematically extract data, manipulate the Licensed Product with unauthorised tools, interfere with availability or integrity, or use the Licensed Product in a way that threatens safety, security, privacy or legal compliance.
Nothing in this section prohibits good-faith security research expressly permitted by Murzo Group Vulnerability Disclosure Policy, ordinary use of accessibility or assistive technology, use of a documented official API or built-in function, export or retrieval of your own User Content through a provided function, or an act that mandatory law permits and does not allow the parties to prohibit by contract.
Any permitted technical activity must be conducted lawfully, must not harm another person or system, and must not be used to obtain Commercial Use or Organisational Use rights.
Security vulnerabilities should be reported through the process stated in Murzo Group Vulnerability Disclosure Policy.
19. Lawful and Responsible Use
You must not use the Licensed Product unlawfully, fraudulently, deceptively or maliciously, to infringe intellectual property, privacy, confidentiality, data protection or other rights, to create, distribute or facilitate illegal, abusive or harmful material, to impersonate another person, to misrepresent an affiliation with Murzo Group, or in breach of sanctions, export controls, trade restrictions or other law.
You must not use the Licensed Product in a safety-critical, medical, emergency, weapons, defence, surveillance, legal, financial, regulated professional, infrastructure, autonomous-system or other high-risk environment unless Murzo Group has approved that use in a separate written agreement.
You remain responsible for your conduct and for deciding whether your intended use is lawful in the country where you use the Licensed Product.
20. User Files and Inputs
You retain ownership of your User Content, subject to any third-party rights.
You grant Murzo Group a non-exclusive licence to host, store, copy, transmit, process, technically modify and back up User Content only as reasonably necessary to provide, secure, maintain and support the Licensed Product, comply with law, investigate material suspected misuse or enforce this Licence in accordance with the applicable Privacy Policy.
You confirm that you have the rights and permissions needed to submit and process User Content. You must not submit unlawful material, malicious code, another person's confidential information without authority, or personal data that you are not entitled to provide.
Personal data is handled under the applicable Murzo Group Privacy Policy and any product-specific privacy notice.
21. Outputs, AI Outputs and Generated Material
As between you and Murzo Group, you retain your rights in User Content and in any genuinely new, original elements that you create in an Output, to the extent that applicable law recognises those rights.
Murzo Group and its licensors retain all rights in Group Materials that appear in, are incorporated into, or are required to use an Output. This Licence gives you only the Personal Use rights stated here. It does not transfer Group Materials to you or make an Output commercially usable.
Every Output remains subject to the prohibition on Commercial Use and Organisational Use, the credit and attribution requirements in section 10, product-specific limitations, applicable third-party rights and applicable law.
Where a Licensed Product includes artificial intelligence, procedural generation, templates, automation, code generation, design generation, game generation, image generation, audio generation, text generation, model generation, editing tools or similar output functions, Murzo Group does not promise that an Output is unique, exclusive, registrable, protectable, suitable for commercial release, free from third-party rights, free from factual error, or appropriate for reliance without review.
You are responsible for reviewing an Output before using or sharing it. This section does not create copyright or another ownership right where applicable law does not recognise one.
22. Feedback
If you voluntarily provide an idea, suggestion or other feedback about a Licensed Product, you retain any rights you have in that feedback and grant Murzo Group a non-exclusive, worldwide, perpetual, royalty-free licence to use, reproduce, adapt and incorporate it for any lawful purpose without payment or attribution to you.
Do not submit feedback that you consider confidential or that you do not have permission to provide. This section does not transfer ownership of your unrelated User Content.
23. Updates, Patches and Product Changes
Murzo Group may provide updates, patches, corrections, security measures and modified versions for valid reasons, including to maintain security, safety or legal compliance, correct faults, improve performance, maintain compatibility with supported systems, prevent misuse, improve features, or respond to changes in supported operating systems, essential third-party dependencies or technical infrastructure.
You may need to install or accept a compatible update to continue using a Licensed Product. If you decline, some functions or access may stop where the update is reasonably necessary.
Murzo Group is not responsible for loss that you could reasonably have avoided by installing a free, properly notified and compatible security or corrective update for which appropriate instructions were supplied.
For a material detrimental change to a paid, ongoing Licensed Product, Murzo Group will give reasonable advance notice where practicable. If the change is not required by law, security or an urgent technical need and materially reduces the service you prepaid for, you may end the affected service before the change takes effect and receive a proportionate refund for the unused prepaid period.
Where a material change ends or materially reduces access to stored User Content, Murzo Group will provide a reasonable opportunity to retrieve that User Content where technically possible and lawful.
24. Availability, Compatibility and Support
Material compatibility requirements and known device, system, format, territory, duration or usage restrictions will be stated in the product information before purchase or download.
Unless expressly included in a product description, order or separate agreement, this Licence does not include bespoke development, installation, training, maintenance or ongoing technical support, support may be limited to published guidance and reasonable fault reporting, compatibility with every device or future system is not guaranteed, and internet access, compatible equipment and third-party charges are your responsibility.
Temporary interruptions may occur for maintenance, security, faults or matters outside Murzo Group reasonable control. Nothing in this section removes a consumer remedy where the Licensed Product is faulty, not as described or otherwise fails to conform to law.
25. Beta, Preview and Experimental Products
A Licensed Product clearly identified as beta, preview, early access, test or experimental may contain faults, incomplete functions and material changes. During the stated test period, features and availability may change, test data and progress may be reset or deleted, the product must not be relied on for critical decisions, permanent storage or production use, and access may end when the test period ends.
Any material beta limitation, expected test duration and charge must be disclosed before you join or pay for the test. These limitations do not remove consumer rights that cannot lawfully be excluded.
26. Fees, Digital Delivery, Cancellations, Refunds and Subscriptions
Before purchase, Murzo Group will disclose the price, applicable tax, payment frequency, delivery method, licence duration and material restrictions, including any material personal-use-only, attribution, territory, device, compatibility, account or technical requirements.
An ordinary purchase or payment grants only the personal licence stated in this document. A commercial or organisational licence must be expressly identified and purchased or granted under section 13.
Purchases, subscriptions, cancellations and refunds are also governed by the Murzo Group terms identified during the transaction, including the applicable Returns, Refunds & Distance Selling Policy. Those terms govern the transaction but do not expand the use rights in this Licence.
Where a consumer asks for immediate supply of digital content or a digital download during a statutory cancellation period, Murzo Group will obtain any express consent and acknowledgement concerning the loss of the cancellation right separately at checkout or in the order process, where required by law. Merely accepting this Licence does not, by itself, provide that consent or acknowledgement.
After a transaction, Murzo Group will provide confirmation of the contract and the applicable version of this Licence in an email or another durable format that you can save and access for future reference, where required by law.
Nothing in this Licence removes a statutory right to cancellation, repair, replacement, price reduction, refund or another remedy that cannot lawfully be excluded.
This Licence does not create a recurring subscription. Any subscription or free trial must be expressly offered with its price, billing interval, renewal, trial conversion, cancellation process and other material terms disclosed before enrolment.
If an automatically renewing subscription or converting free trial is offered, its product-specific terms must include any legally required pre-contract information, reminder notices, online cancellation route, end-of-contract confirmation and refund handling.
27. App Stores, Marketplaces and Third-Party Distribution
A Licensed Product may be supplied through an app store, game platform, marketplace, payment processor, cloud provider or digital distributor. Platform terms may govern platform billing, technical delivery, refunds, moderation, availability and account access, but they do not grant broader rights in Group Materials unless Murzo Group expressly says so.
Where a third-party platform is the seller, merchant of record, fulfilment provider or payment processor, that platform may be responsible for transaction handling, tax, marketplace refunds or account support under its own rules. This Licence still controls the use rights granted by Murzo Group unless mandatory platform terms legally override it.
Unauthorised resale, account transfer, licence-key resale, file sharing, marketplace copying, re-uploading, scraping, repackaging or distribution of a Licensed Product does not create a valid licence from Murzo Group.
28. Suspension
Murzo Group may temporarily restrict or suspend access where it reasonably believes this is necessary to investigate suspected account compromise, fraud, non-payment or serious misuse, protect the Licensed Product, Murzo Group, you or another person, prevent an ongoing or imminent material breach, address a material security or legal risk, or comply with a legal or regulatory obligation.
Where reasonably possible, Murzo Group will notify you, give a general reason, limit the restriction to what is reasonably necessary and explain any reasonable steps available to restore access. Advance notice may be withheld where it would create a security risk, prejudice an investigation or conflict with law.
If Murzo Group suspends a prepaid hosted service for a prolonged period for a reason not caused by your breach, misuse or non-payment, Murzo Group will provide an appropriate service extension, an equivalent alternative remedy or a proportionate refund for the unused affected period.
29. Termination
Murzo Group may terminate this Licence or an account if you commit a serious or repeated breach, use the Licensed Product commercially or organisationally without an appropriate licence, infringe intellectual property rights, compromise or attempt to compromise security, do not remedy a remediable material breach within a reasonable period after notice, or continued access or supply becomes unlawful or technically impossible.
Murzo Group may discontinue an ongoing hosted Licensed Product where it can no longer reasonably provide it because of a change in law, a material security or technical issue, withdrawal of an essential third-party dependency, or a genuine decision to cease offering the service that is not made simply to avoid existing contractual obligations.
Where practicable, Murzo Group will give reasonable notice. If discontinuation ends prepaid access and is not caused by your breach, Murzo Group will provide a proportionate refund for the unused prepaid period and a reasonable opportunity to retrieve User Content where technically possible and lawful.
Discontinuing support or future updates does not, by itself, terminate an indefinite personal licence for a lawfully acquired downloadable Licensed Product that remains technically usable, unless continued use is unlawful, creates a material security risk, or product-specific terms state a disclosed fixed duration.
You may end this Licence by ceasing use and, where applicable, cancelling the relevant account or subscription under the terms presented during the transaction. Where appropriate, you may challenge a suspension or termination through Murzo Group complaints process.
30. Effect of Termination
When this Licence ends, your right to access and make new use of the Licensed Product ends, you must uninstall and delete copies of the Licensed Product and Group Materials in your possession or control except for a copy that law requires you to retain, hosted features and access may cease, and you may retain your own User Content.
You may retain lawfully created Outputs for private archival purposes, but you must not newly publish, distribute, commercialise or otherwise use Group Materials after the Licence ends. Terms concerning ownership, attribution for material that remains lawfully published, accrued rights, liability and enforcement continue where their nature requires.
Murzo Group will provide a reasonable opportunity to retrieve User Content before deletion where technically possible, lawful and consistent with security requirements. User Content will otherwise be handled under the applicable privacy notice and retention rules.
If termination follows infringement or another continuing breach, Murzo Group may require removal of previously published material to the extent reasonably necessary to end that breach. Termination does not remove statutory rights, remedies or liabilities that arose before termination.
31. Consumer Rights and Warranties
If you are a consumer, you have mandatory legal rights concerning digital content and digital services. Those rights take priority over any conflicting provision of this Licence.
Murzo Group does not exclude or restrict legal obligations relating to satisfactory quality, fitness for a disclosed purpose, conformity with description, required updates, reasonable care and skill in supplying a service, right to supply digital content, or statutory remedies where those obligations apply.
Subject to those rights, Murzo Group does not promise that every Licensed Product will be uninterrupted, entirely error-free or compatible with a system that was not identified as supported.
32. Liability
Nothing in this Licence excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, deliberate breach where liability cannot lawfully be limited, breach of a statutory consumer right, or any other liability that cannot lawfully be excluded or limited.
If you are a consumer, Murzo Group is responsible for loss or damage that is a foreseeable result of Murzo Group breach of this Licence or failure to use reasonable care and skill, subject to applicable law.
The Licensed Product is supplied for Personal Use only. Murzo Group is not responsible under this personal-use Licence for business losses, loss of profit, revenue, business, contracts, commercial opportunity or business interruption arising from prohibited Commercial Use or Organisational Use.
Separate liability terms may apply under a commercial or organisational licence.
33. Changes to This Licence
Murzo Group may make a change to this Licence for a valid reason, including to reflect a change in law or regulation, address a material security issue, accommodate a reasonably necessary technical change, correct an error or ambiguity, or introduce a change that benefits users without reducing their rights.
Minor, beneficial or legally required changes may take effect after reasonable notice where appropriate. A change will not retroactively reduce the rights granted for a previously acquired one-off downloadable Licensed Product unless you expressly accept the change or the change is necessary to comply with law or address a material security risk.
For an ongoing hosted service, Murzo Group will give reasonable advance notice of a material change where practicable and will explain its effect. Where required by law or appropriate to the nature of the change, Murzo Group will request express acceptance.
If a material detrimental change is not required by law, regulation or an urgent security need, you may stop using and cancel the affected paid ongoing service before the change takes effect. You will receive a proportionate refund for the unused prepaid period, together with a reasonable opportunity to retrieve User Content where technically possible and lawful.
Murzo Group will not treat silence as acceptance of a material change where express acceptance is required by law or by the nature of the change. The current version and effective date will be displayed with this Licence. Previous versions may be retained for legal and administrative purposes.
34. Governing Law and Courts
This Licence is governed by the laws of England and Wales.
If you are a consumer, you retain the benefit of mandatory protections available under the law that applies to you and may bring proceedings in any court available to you under applicable law. Nothing in this Licence requires a consumer to give up a mandatory right to use their local courts.
A separate commercial or organisational agreement may state different governing law or jurisdiction terms.
35. General Provisions
If a provision of this Licence is invalid or unenforceable, it will be modified only to the minimum extent necessary or, if modification is not possible, treated as removed. The remaining provisions will continue in effect.
A delay or failure by Murzo Group to enforce a provision does not waive the right to enforce it later.
You may not assign or transfer this Licence without Murzo Group prior written consent. Murzo Group may assign this Licence to a purchaser, successor or member of its corporate group as part of a merger, reorganisation, sale of business or transfer of the relevant Licensed Product, provided that the assignment does not reduce your rights under this Licence.
This Licence does not create a partnership, joint venture, employment, agency or franchise relationship between you and Murzo Group.
No person other than you and Murzo Group has a right to enforce this Licence, except where applicable law provides otherwise.
Notices relating to a Licensed Product may be sent electronically to the contact details associated with your account or purchase, or displayed within the Licensed Product, where permitted by law.
36. Contact
Questions about this Licence, permitted use or commercial and organisational licensing may be sent to admin@murzo.co.uk or through the contact page at https://murzo.co.uk/contact.
A complaint about a Licensed Product, suspension, termination or the application of this Licence may be submitted through the same contact route and will be handled under the applicable Murzo Group complaints policy.
Before using a Licensed Product for any business, organisational, employment, client, production, monetised or revenue-generating purpose, obtain written confirmation from Murzo Group that the use is authorised under an appropriate separate licence.
